Why do fish die when taken out of water ?

Fishes are able to take dissolved oxygen in water through their gills. Gills are richly supplied with blood capillaries and can readily absorb oxygen dissolved in water but are not equipped to take in oxygen from air. Hence, when a fish is taken out of water, it is unable to inhale oxygen rich air and so dies quickly.
