ALLEN ONLINE REFERRAL PROGRAM TERMS AND CONDITIONS

Allen Career Institute Private Limited ("ALLEN" or “We”) offers its students currently enrolled in any ALLEN courses, as well as students who graduated from school in the academic year 2023 onwards and were previously enrolled in an ALLEN Online course (“Referrer”, “Your” or “You”) the opportunity to participate in its referral program (the “Program”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by ALLEN.

Referrers are bound by these Terms and Conditions by participating in the Program. By participating in the Program, Referrers agree to use the Program in the manner specified in these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Referrer or to participate in the Program in any other manner. Referrers may also not participate in the Program where doing so would be prohibited by any applicable law or regulations.

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws (including, without limitation, through any failure to include any disclosures as required by under law or otherwise required by ALLEN).

A.GENERAL

1. All students who have enrolled in any ALLEN programs are eligible for referring for any of the ALLEN Online courses.
2. Individuals who receive a referral via a Referrer are "Friends" (or, singularly, a “Friend”). An eligible Referrer who is fully compliant with these Terms and Conditions may receive "Reward(s)" for every "Qualified Referral” (all terms in quotes to be understood as defined below).
3. By participating in the Program, a Referrer represents that he or she has her Friends’ prior consent to provide their contact information.
4. In case multiple Referrers refer the same Friend, the Referrer who refers the Friend first shall be eligible for the Referral Reward.
5. In case of multiple discount codes/scholarships, only one code, which offers a higher discount will be applicable for the Friend.

B.QUALIFIED REFERRALS

1. “Qualified Referral” means a referral by an eligible Referrer of their Friend who purchases any of the ALLEN Online courses for classes 6 to 12 Plus, wherein course prices start from Rs 5,000
2. The Program applies only to purchases of any ALLEN Online programs for classes 6 to 12 Plus, launched by ALLEN.
3. Self-referral is not allowed. So, if Your details, including but not limited to, last name, email address, and/or phone number, are the same as that of Your Friend, such referrals will be deemed as a “Self-Referral” and does not qualify as a Qualified Referral.
4. If your Friend has an existing enrollment with ALLEN, they are not eligible to be referred for any other course.
5. In case Your Friend initiates a cancellation or refund of the ALLEN Online program within 30-days from the date of the purchase, Your referral shall not be counted as a Qualified Referral.
6. Referrals through the Program are not eligible for discount on offline programs.
7. For a Qualified Referral, Your Friend needs to log in using the link shared by the referrer or the discount code shared by the referrer.
8. Any referrer can get Referral Rewards worth upto Rs 20,000.
9. ALLEN reserves the right to investigate and take legal action against any activity deemed to be abusive, fraudulent, or in violation of these Terms and Conditions. This includes, but is not limited to, creating fake identities, impersonating others, or misusing personal data. ALLEN may, at its discretion, suspend or terminate access to the Program without notice.

C.REFERRAL PROCEDURE

1. To participate in the Program, Referrers should visit allen.in\referral and follow the on-screen instructions to refer Friends to the Program and share the referral link with them;
2. Next, your Friend can log into ALLEN using the referral link. A coupon code with a discount of 10% will be auto-applied to their cart on the checkout page. Else the friend can also add the coupon code shared with them to get the 10% referral discount. 
3. Once their purchase is complete, You will receive an email to confirm the successful referral. 
4. You will receive the Referral Reward through email within 30 days. 

D.EARNING REWARDS

1. Within 30-days from the date of purchase by a successful Qualified Referral, You will receive a gift voucher worth Rs. 1,000 as a “Referral Reward”.
2. All Friends will enjoy a discount of 10% auto-applied on the checkout page when they purchase any ALLEN Online programs for classes 6 to 12 Plus.
3. Referral Rewards are subject to verification. ALLEN may delay a reward for the purposes of investigation. ALLEN may also refuse to verify and process any transaction it deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on itself, its affiliates or any of their respective officers, directors, employees, representatives and agents.
4. All of ALLEN's decisions are final and binding, including decisions as to whether a referral is a Qualified Referral.
5. Referral Rewards are not transferable and may not be auctioned, traded, bartered or sold. Upon termination of the Program or any portion thereof for any reason, any unredeemed Referral Rewards that have not yet been delivered to Referrer are forfeited. 
6. In case the gift voucher is not shared with you within 30 days of receiving the confirmation email of a successful Qualified Referral, please write to us at wecare@allen.in.
7. Referral Rewards may be subject to taxation as per applicable laws. The Referrer shall be solely responsible for any taxes, duties, or levies associated with the receipt of such rewards.

E.ALLEN MATERIALS

1. ALLEN’s online platform and the Program contain content that includes without limitation all designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other content (collectively, "Content"). 
2. As between Referrer and ALLEN, all Content is the property of ALLEN or its licensors and is protected under copyright, trademark, and other laws. 
3. The compilation (meaning the collection, arrangement, and assembly) of all Content on ALLEN’s online platform or the Program is the exclusive property of ALLEN or its licensors and is protected by copyright, trademark, and other laws.

F.INDEMNITY AND LIMITATION OF LIABILITY

1.By participating in this Program, Referee agrees to:

• Be bound by these Terms and Conditions, and the decisions of ALLEN;
• Defend, indemnify, release and hold harmless ALLEN, its affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents (collectively, the "Indemnified Parties"), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Referral Reward).

2.ALLEN disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other cause beyond ALLEN’s control corrupt the administration, security or proper operation of the Program.

3.ALLEN shall not be liable to any Referrer for failure to supply any Referral Reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labour dispute or strike (whether legal or illegal), labour or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the released parties' control.

4.ALLEN reserves the right to cancel or suspend the Program should ALLEN determine, in its sole discretion, that (a) the administration, security or fairness of the Program has been compromised in any way; or (b) the Program, in any way, violates applicable laws.

5.Referrers expressly understand and agree that neither ALLEN, nor its affiliates, or their respective officers, directors, employees, and contractors ALLEN shall not be liable to You for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if ALLEN was advised of the possibility of such damages), resulting from:

• The use or the inability to use the Program;
• The cost of procurement of substitute goods and services resulting from any goods, data, information or services obtained or messages received, or transactions entered into through, from, or as a result of the Program;
• Unauthorized access to or alteration of Your transmissions or data;
• Statements or conduct of any third party on or through the Program; or
• Any other matter relating to the Program.

6.ALLEN makes no representation or warranty regarding the availability, reliability, or functionality of the Program, and disclaims all implied warranties to the maximum extent permitted by law.

G.GOVERNING LAW

1. Any and all disputes, claims and causes of action arising out of or related to the Program or any Referral Reward or other prize awarded pursuant to the Program or to this agreement shall be subject to the laws of India and, subject to arbitration in accordance with the terms hereof, and the courts of Kota, Rajasthan shall have exclusive jurisdiction in relation to all matters hereunder.
2. Referrers and ALLEN agree to submit to the personal and exclusive arbitration of any disputes relating to the use of arbitration to be conducted in accordance with the Delhi International Arbitration Centre Rules (“DIAC Rules”) and the Indian Arbitration and Conciliation Act, 1996 as amended from time to time (“Arbitration Act”). The venue of such arbitration shall be Kota. The arbitration shall be conducted in English by a sole arbitrator, appointed in accordance with the DIAC Rules. The decision of such arbitrator shall be written, reasoned, final, binding and conclusive on the Parties. Any award rendered pursuant to any such arbitration shall include the costs of arbitration, including but not limited to the fees of the arbitrator.

H.MISCELLANEOUS

1. Referrers agree to comply with all applicable laws and regulations related to electronic communications, privacy, and spam (including but not limited to the Information Technology Act, 2000 and its rules). Referrers must not engage in spamming, unsolicited messages, or any misrepresentation while promoting the Program.
2. ALLEN reserves all rights to change the discount and rewards conferred under the Program or these Terms and Conditions and without assigning any reason for the same. Modifications of these terms will be effective from the time they are updated in the Terms and Conditions.
3. ALLEN may suspend or terminate the Program or any student’s ability to participate in the Program at any time for any reason at their discretion. All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
4. These terms constitute the entire agreement between Referrers and ALLEN concerning Referrers' use of the Program.
5. The failure of ALLEN to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
6. If any provision of these terms is found by a court of competent jurisdiction to be invalid, ALLEN and Referrers nevertheless agree that the court should endeavour to give effect to the intentions reflected in the provision, and that the other provisions of these terms shall remain in full force and effect.
7. The section titles in these terms are for convenience only and have no legal or contractual effect.
8. A person who is not a party to these terms shall have no right to enforce or receive the benefit of any of these terms.
9. By participating in the Program, Referrers consent to the collection, storage, and processing of their personal data and that of their Friends by ALLEN for purposes related to administering the Program, validating referrals, and issuing rewards. ALLEN shall handle personal information in accordance with its Privacy Policy. Referrers are solely responsible for obtaining their Friends’ consent to share any personal data with ALLEN.
10. Nothing in these Terms and Conditions shall be construed to create any employment, partnership, joint venture, agency, or franchise relationship between Referrer and ALLEN.
